Terms of Service

These terms combine DemoNest platform rules, artist upload terms, and the monthly competition rules in one public stub.

Plain Language Summary

  • Artists keep their masters and publishing.

Accounts

By creating an account, signing in by phone OTP, uploading content, voting, liking, commenting, or otherwise using DemoNest, you accept these terms and the Privacy Policy. Use your own phone number and accurate account information. Do not create fake accounts, share OTP codes, impersonate another person, or bypass phone verification, device checks, rate limits, or anti-abuse systems.

Key definitions

These working definitions keep the public rules aligned with the MVP product.

  • Preview Clip: the 60-second excerpt selected by the artist and shown publicly in the feed.
  • Full Track: the complete uploaded recording, unlocked only to signed-in fans who vote for that specific track.
  • Competition Cycle: the active competition period in which eligible tracks collect engagement score.
  • Review Window: the post-cycle period in which top tracks may be reviewed for prizes, distribution, publishing, or industry opportunities.

Artist uploads

Artists may upload only music and media they own or have valid written rights to use. For MVP, each artist may submit one track per active competition cycle.

  • The track must be original or properly licensed and must not infringe copyright, publicity, privacy, or moral rights.
  • The uploaded competition entry should not already be commercially released on major DSPs unless DemoNest has approved that use case in writing.
  • If other performers, producers, writers, or rights holders contributed, the uploading artist is responsible for obtaining their permission.
  • AI tools may be used only as creative aids when there is substantial human creative authorship. Fully AI-generated or rights-unclear uploads may be rejected or held for review.

Limited license to DemoNest

By uploading a track, the artist grants DemoNest a limited, non-exclusive, worldwide license needed to operate the competition and deliver the product.

  • Stream, display, and publicly perform the 60-second preview clip for discovery, voting, sharing, and leaderboard display.
  • Stream the full track only to signed-in fans who have voted for that specific track.
  • Store, transcode, analyze, and generate technical assets such as previews, full-track files, video outputs, artwork, waveform data, metadata, and safety checks.
  • DemoNest does not receive the right to train, fine-tune, or improve AI models on artist audio, video, artwork, or lyrics.

Ownership and moral rights

Nothing in these terms transfers ownership of masters, publishing, compositions, lyrics, recordings, artist names, or artwork to DemoNest. DemoNest will credit the artist name supplied in the product and will not knowingly distort or misattribute an artist work.

Monthly Music Competition Official Rules

Entry is free. The MVP competition is skill-based and fan-driven: rankings are based on engagement score, using platform-configured weights for votes, likes, full listens, comments, shares, favorites, and follows. Fan voting is subject to listen gates, authentication, caps, duplicate checks, fraud checks, and final platform validation.

  • No purchase is required to enter, browse public content, listen to previews, vote after sign-in, or be considered for an MVP prize.
  • A vote requires the product listen gate and the server-side voting checks shown in the app.
  • Leaderboards and winners are calculated from engagement score, not a simple raw vote race.
  • Daily caps, rate limits, and fraud checks may reduce, reject, reverse, or disqualify activity.

Prizes and opportunities

Any cash prize, publishing administration, distribution, feedback, industry introduction, label referral, or other opportunity may require eligibility, identity, tax, rights, and anti-fraud checks. Final deal terms must be captured in a separate written agreement.

  • The rough commercial draft contemplates ASG publishing administration and Project Melody distribution for top-performing tracks, with exact terms pending legal and partner confirmation.
  • Other top-ranked or judge-flagged tracks may receive feedback, rework guidance, discretionary deal consideration, or no offer.
  • Artists are not required to accept a deal offer. If declined, rights remain with the artist subject to any active review window or separate signed agreement.

Competition exclusivity and review window

During the active competition cycle and any written review window, the artist should not commercially release, assign, sell, or grant exclusive rights in the uploaded track without DemoNest written approval. Live performance, private sharing, non-commercial promotion, and PRO registration remain allowed unless a separate deal agreement says otherwise.

Label referrals

If a label, distributor, publisher, sync buyer, or industry entity contacts an artist about a track uploaded to DemoNest during the exclusivity or review window, the artist should notify DemoNest. Any referral fee, royalty share, commission, or revenue share must be confirmed by counsel and written into a separate agreement before enforcement.

Platform use

DemoNest competition integrity is non-negotiable. Users must not interfere with the platform, manipulate rankings, or misuse content.

  • Do not buy votes, coordinate paid vote rings, trade votes, automate engagement, create duplicate accounts, or vote on your own entry from fake accounts.
  • Do not scrape, bulk download, harvest, rehost, or use DemoNest content to train or improve AI or machine learning systems.
  • Do not upload malware, spam, threats, hate, unlawful content, rights-infringing content, or content that harms minors or other users.
  • Do not attack, overload, reverse engineer, bypass signed URLs, or interfere with platform protection systems.

Removal, moderation, and disqualification

DemoNest may reject, flag, delist, remove, or disqualify tracks and accounts that violate these terms, infringe rights, contain prohibited content, manipulate engagement, fail eligibility checks, or create legal or safety risk. Artist-requested removal may forfeit that cycle eligibility.

Disclaimers and limitation of liability

DemoNest does not guarantee exposure, votes, listens, rank, deals, commercial success, uninterrupted access, or error-free operation. Liability limits, indemnities, and remedies require legal review and will be finalized before public launch.

Governing law and disputes

These terms are drafted for India-first launch, with Mumbai, Maharashtra as the intended venue and the laws of India as the intended governing law. Arbitration, court jurisdiction, prize-competition licensing, and state-by-state compliance remain open for counsel review.

Changes

DemoNest may update these terms as the MVP evolves. Material changes should be communicated by in-app notice, email, or another reasonable method. Continued use after updates means you accept the updated terms.
